Ventyx® Completes Acquisition of nMarket® Software Business

Adds Market-Leading Transaction Management and Settlements Solution to Comprehensive Energy Portfolio Management Offering

Ventyx, the world's largest private software, data and advisory services provider to the utility industry, today announced it has completed the acquisition of the software assets of The Structure Group, adding the flagship nMarket software to Ventyx's extensive suite of solutions.

The acquisition combines the market-leading transaction management and settlements solution for the deregulated power and natural gas industry with Ventyx's comprehensive Energy Portfolio Management (EPM) solution suite to provide energy and utility clients with a complete range of EPM capabilities, including investment planning and budgeting, risk and position management, operations planning and optimization, market operations and communications, settlements and post analysis with one suite of Ventyx products. nMarket adds a comprehensive software platform for market operations and settlements for the power industry that provides an integrated, bid-to-bill platform for straight-through processing with accuracy, efficiency and performance—as well as a complete nomination-to-bill transaction management platform for the natural gas market.

"Adding the nMarket suite to our unparalleled Energy Portfolio Management offering marks yet another exciting step for our company and further establishes Ventyx as the unquestioned powerhouse in the energy and utility industry," said Ventyx Executive Chairman and CEO Vince Burkett. "Ventyx now has the only true EPM platform that spans forecasting and portfolio planning, trading and risk management, unit commitment and dispatch, bidding and scheduling, market communications and settlements and portfolio performance analysis. Furthermore, by adding the nMarket client base to our marquee client list, Ventyx is now the unquestioned leader in energy operations solutions—providing functionality for scheduling, bidding and settlement of more generation and load than all of the other competing software solutions combined."

Ventyx is integrating nMarket employees and management into its product development and sales organizations, further expanding the company's industry-leading capability to deliver successful software solutions to energy and utility companies. Structure Principal Amy Zupon and Director David Potts have now assumed key leadership roles within the Ventyx Energy Portfolio Management group. Ventyx is maintaining the nMarket approach and commitment to addressing rapid market evolution by deploying market-specific product and market specialists who will operate within Ventyx's product management function. nMarket product development, implementation services and product support will continue to be based in the current Houston office.
